Terms and Conditions
Last updated: October 28, 2026
These Terms and Conditions ("Terms") govern your use of the Subschema website at subschema.co (the "Site") and, in Part B, the consulting services provided by Subschema ("Subschema," "we," "us," or "our"). By using the Site you agree to Part A. By engaging Subschema for services you agree to Part B in addition to Part A. If you do not agree, do not use the Site or our services.
Part A — Website Terms of Use
1. The Site
The Site provides information about Subschema's consulting services and open source projects. We may change, suspend, or discontinue any part of the Site at any time without notice.
2. Acceptable use
You agree not to:
- Use the Site in any way that violates applicable law or regulation.
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems.
- Interfere with or disrupt the Site, including by introducing malware or automated scraping that burdens the Site.
- Misrepresent your identity or affiliation when contacting us through the Site.
3. Intellectual property
The Site's content, including text, graphics, logos, and layout, is owned by Subschema or its licensors and is protected by copyright and other intellectual property laws. You may view and print pages for your own internal business use. You may not reproduce, distribute, or create derivative works from Site content without our written permission, except as allowed by law.
Our open source software is licensed separately under the license stated in each project's repository (for example, AGGREGATE is licensed under AGPL-3.0). Nothing in these Terms changes the terms of those open source licenses.
4. Third-party links
The Site may link to third-party websites. We do not control and are not responsible for their content, policies, or practices. A link is not an endorsement.
5. No reliance
Content on the Site is general information about our services and views. It is not professional, legal, financial, or technical advice for your specific situation, and you should not rely on it as such.
6. Disclaimer of warranties (Site)
The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
7. Contact through the Site
If you contact us through the Site, you agree that we may respond using the contact information you provide. Submitting an inquiry does not create a client relationship; a client relationship begins only under Part B, section 9.
Part B — Consulting Services Terms
8. Scope of this Part
Part B applies when you engage Subschema to provide consulting, development, analytics, implementation, or support services (the "Services"). If a signed statement of work, proposal, or agreement between you and Subschema conflicts with Part B, that document controls.
9. Engagements and statements of work
Services are provided under a statement of work, proposal, or written agreement (each, an "SOW") describing the work, deliverables, schedule, and fees. Work begins when the SOW is accepted in writing (including by email) or when we begin work at your written request.
10. Client responsibilities
You agree to provide timely access to the people, systems, accounts, and information reasonably needed to perform the Services, and to review and respond to deliverables within a reasonable time. Delays caused by missing access or information may shift schedules and, where they increase effort, fees.
11. Fees and payment
Fees are as stated in the SOW or, if none is stated, at our then-current rates. Invoices are due within 30 days of the invoice date unless the SOW states otherwise. Amounts not paid when due may bear interest at 1.0% per month or the maximum rate allowed by law, whichever is less. You are responsible for taxes other than taxes on our net income. If an invoice is disputed, notify us within 15 days and pay the undisputed portion on time.
12. Ownership of deliverables
When you have paid all amounts due for an SOW, you own the deliverables created specifically for you under that SOW, excluding Subschema Property (section 13). Until paid in full, deliverables are licensed to you for internal evaluation only.
13. Subschema property and open source
We retain ownership of everything we owned before the engagement or developed independently of it, including our tools, libraries, templates, methods, and know-how ("Subschema Property"). If Subschema Property is embedded in a deliverable, you receive a non-exclusive, royalty-free license to use it as part of that deliverable. Deliverables may include open source components, which remain governed by their own licenses.
14. Confidentiality
Each party agrees to keep the other's non-public information confidential and to use it only to perform or receive the Services. This does not apply to information that is public without fault, was already known, or must be disclosed by law. We may identify you as a client by name and logo in our portfolio and marketing unless you ask us in writing not to.
15. Warranties (Services)
We warrant that the Services will be performed in a professional and workmanlike manner consistent with industry practice. If we breach this warranty, notify us within 30 days of delivery and our obligation is to re-perform the affected Services or, if we cannot, refund the fees paid for them. Except as stated in this section, the Services and deliverables are provided without other warranties, express or implied, to the fullest extent permitted by law.
16. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, arising from the Site or the Services. Subschema's total liability arising from the Services is limited to the fees you paid to Subschema in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
17. Term and termination
Either party may terminate an engagement on 30 days' written notice, or immediately if the other party materially breaches these Terms and does not cure within 15 days of notice. You will pay for Services performed through the termination date. Sections 12 through 16 and 18 survive termination.
General
18. Governing law
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. Any dispute arising from these Terms will be resolved in the state or federal courts located in Minnesota, and the parties consent to their jurisdiction.
19. Changes to these Terms
We may update these Terms from time to time. Changes apply when posted on this page, with the "Last updated" date revised. Changes to Part B do not apply retroactively to engagements already underway unless we agree in writing.
20. Entire agreement and severability
These Terms, together with any SOW, are the entire agreement between you and Subschema about the Site and the Services and replace prior discussions on those subjects. If any provision is held unenforceable, the rest remain in effect.
21. Contact
Questions about these Terms can be sent through the contact options on this Site.
